1. Scope and Provider
1.1 These General Terms and Conditions (the "Terms") govern all contracts concluded between

(the "Provider", "we", "us") and the customer (the "Customer", "you") in respect of all digital products offered via the website giaxomusic.com (the "Website").
1.2 We sell exclusively digital products. No physical goods are shipped.
1.3 Our offer is directed at consumers. A "consumer" is any natural person who enters into the contract for purposes that are predominantly outside their trade, business or profession (Section 13 of the German Civil Code, BGB).
1.4 Any conflicting or deviating terms of the Customer shall not apply unless we have expressly agreed to them in writing.
2. Formation of the Contract
2.1 The presentation of products on the Website does not constitute a binding offer but an invitation to place an order.
2.2 By clicking the order/payment button at the end of the checkout process, you submit a binding offer to purchase the products contained in your basket.
2.3 We may accept your offer by sending an order confirmation by email or by making the digital product available for download. The contract is concluded at the point at which we accept your offer.
2.4 Before submitting your order you can review and correct your entries at any time using the correction tools provided in the checkout.
3. Contract Language and Storage of the Contract Text
3.1 The language available for concluding the contract is English.
3.2 We store the contract text and send you the order details together with these Terms by email. You can also save or print these Terms at any time from the Website.
4. Prices and VAT
4.1 In accordance with Section 19 of the German VAT Act, no value added tax (VAT) is charged or shown.
4.2 As only digital products are delivered, no shipping or delivery costs are charged.
5. Payment Terms
5.1 Payment is due immediately upon conclusion of the contract.
5.2 We offer all major payment methods shown to you during the checkout process (e.g. PayPal, credit and debit card, and further methods displayed at checkout).
5.3 The digital product is made available after successful and complete receipt of payment.
6. Delivery of Digital Content
6.1 Delivery is made exclusively in electronic form, by providing a download link and/or making the product available in your customer account and/or by email.
6.2 Delivery normally takes place immediately after receipt of payment, unless stated otherwise in the product description.
6.3 You are responsible for ensuring that your device and software meet the technical requirements needed to download and use the digital content (e.g. a compatible plug-in or DAW). Any specific technical requirements are stated in the product description.
7. Right of Withdrawal
Where the contracting party is a consumer within the meaning of Section 13 BGB, the following withdrawal policy applies.
Right of withdrawal
You have the right to withdraw from this contract within fourteen (14) days without giving any reason.
The withdrawal period is fourteen (14) days from the day on which the contract is concluded (the day of purchase).
We voluntarily grant this right of withdrawal even where the download of the digital content has already begun or been completed. (By law, the right of withdrawal for digital content would normally lapse in that case; we grant it anyway as a customer-friendly policy.)

— by means of a clear statement (e.g. a letter sent by post or an email) of your decision to withdraw from this contract. You may use the model withdrawal form below or our withdrawal form at https://giaxomusic.com/pages/withdrawal but this is not mandatory. If you use this option, we will send you confirmation of receipt of such a withdrawal without undue delay (e.g. by email).
To meet the withdrawal deadline, it is sufficient that you send your communication concerning the exercise of the right of withdrawal before the withdrawal period expires.
Consequences of withdrawal
If you withdraw from this contract, we shall reimburse all payments received from you without undue delay and no later than fourteen (14) days from the day on which we receive notification of your withdrawal. For this reimbursement we use the same means of payment you used for the original transaction, unless expressly agreed otherwise; in no event will you be charged any fees for this reimbursement.
As the contract concerns digital content that is not delivered on a physical medium, there are no goods to return; provisions on returning goods, return shipping costs and any loss of value do not apply. Upon withdrawal, your right to use the digital content ends: you must cease all use of the content and delete all downloaded or stored copies.

9. Grant of Rights / License to Use the Digital Content
9.1 Upon full payment, we grant you a non-exclusive, non-transferable, worldwide right to use the purchased preset packs and templates.
9.2 You may use the presets and templates to create your own music and audio productions, including productions that you release or exploit commercially.
9.3 You may not: resell, redistribute, share, sublicense, give away, or otherwise make available the presets or templates themselves (whether as delivered or in modified, renamed or repackaged form); distribute them as standalone files or as part of a competing preset/template/sound-library product; or make them publicly available (e.g. by uploading them to file-sharing, cloud or streaming platforms).
9.4 Where an individual product is offered under separate or extended license terms stated at the point of sale, those specific license terms take precedence over this Section 9.
10. Reservation of Rights
Until full payment has been received, all rights to use the digital content remain with us. No usage rights pass to you before payment is complete.
11. Liability for Defects (Warranty)
11.1 The statutory provisions on liability for defects apply, in particular the statutory rules for the supply of digital products to consumers.
11.2 If the digital content is defective (e.g. corrupted or non-functional files), we will, at our discretion and within the statutory framework, provide a replacement download or otherwise remedy the defect. If this fails, you retain your statutory rights (e.g. price reduction or, where applicable, termination and refund).
11.3 Please report any defects to info@giaxomusic.com.
12. Limitation of Liability
12.1 We are liable without limitation for damages arising from injury to life, body or health, for intent and gross negligence, and under any mandatory statutory provisions.
12.2 In the case of slight negligence, we are liable only for the breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance the Customer regularly relies), and in such cases our liability is limited to the foreseeable, contract-typical damage.
12.3 Any further liability is excluded.
13. Set-off and Assignment
13.1 You are entitled to set-off only if your counterclaim has been legally established, is undisputed, or has been recognised by us.
13.2 Claims arising from this contract may not be assigned to third parties without our prior consent, unless mandatory law provides otherwise.
14. Data Protection
We process personal data in accordance with our Privacy Policy, available at https://giaxomusic.com/policies/privacy-policy, and in compliance with the applicable data protection laws (in particular the GDPR).
15. Online Dispute Resolution / Consumer Dispute Resolution
15.1 We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
16. Applicable Law and Jurisdiction
16.1 The contract and these Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the country in which they have their habitual residence.
17. Severability
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a valid provision that comes closest to the intended economic purpose.
